Terms & Conditions

These Terms and Conditions (Terms) govern your access to and use of the Essential 3 (E3) website (the Site) and any related services, content, events, communities, peer groups, workshops, templates, tools, training, facilitation, and advisory offerings provided by Essential 3 (E3) (collectively, the Services). By accessing the Site or using the Services, you agree to these Terms.

If you do not agree, do not use the Site or Services.

1) Who we are
Essential 3 (E3) (we, us, our) provides independent peer groups, professional facilitation, and business advisory resources for managed service providers (MSPs) and related technology services firms.

2) Eligibility and authority
You represent that:

  • You are at least 18 years old.

  • You have authority to bind yourself and, if applicable, your company to these Terms.

  • The information you provide to E3 is accurate and kept current.
     

3) Changes to these Terms
We may update these Terms from time to time. The “Last updated” date reflects the most recent update. Continued use after changes means you accept the updated Terms.

4) Accounts and access security
If you create an account or receive access credentials, you are responsible for safeguarding them and for all activity under your account. Notify us promptly of any unauthorized access or suspected compromise.

5) Boardroom standard and code of conduct
E3 operates as a private, professional environment. You agree to:

  • Engage respectfully and professionally.

  • Avoid harassment, discriminatory conduct, or disruption.

  • Participate in good faith and not misrepresent your role, business metrics, or intentions.

  • Not use the community primarily to solicit business, recruit staff, or otherwise exploit member access.

We may suspend or terminate access for conduct that violates these Terms or harms the member experience.

6) Confidentiality and non-disclosure
E3 peer groups function like a private board meeting. By participating, you agree that all non-public information shared in or through the Services is confidential, including (without limitation) member identity, business plans, financials, pricing, staffing, operations, client information, strategy, and discussions (Confidential Information).
You agree you will not:

  • Disclose Confidential Information to any third party.

  • Use Confidential Information for any purpose other than participating in the Services.

  • Record, screenshot, photograph, or distribute discussions or materials without written permission from E3 and the applicable member(s).

If your company requires a separate confidentiality agreement, E3 may provide one. If there is a conflict, the separate agreement controls.

7) No recording policy
Unless explicitly authorized in writing by E3, you may not record any meeting, workshop, call, or session in any format (audio, video, screen recording, transcription, or otherwise). This includes recordings made by attendees, assistants, or third-party tools.

8) Vendor participation policy
E3 is independent and not vendor-driven.
From time to time, E3 may allow third-party vendors to participate in limited, controlled sessions. Any such participation is:

  • Time-boxed and structured by E3,

  • Subject to member approval through a vote or equivalent process determined by E3,

  • Not an endorsement by E3, and

  • Not a waiver of confidentiality obligations.

Vendors do not receive access to the broader community, member rosters, or member discussions unless explicitly approved and disclosed in advance. Members are never required to engage with vendors.

9) Payments, billing, and quarterly commitment
If you enroll in a membership or program with recurring billing:

  • You authorize E3 to charge the payment method on file on a monthly basis.

  • Memberships include a quarterly commitment (the Commitment Term). You agree to pay for at least three (3) consecutive months from your start date.

Renewal: After the initial Commitment Term, your membership renews automatically and continues on a rolling basis with a new quarterly commitment unless you cancel in accordance with Section 10 or unless a written agreement states otherwise.
E3 may change fees with advance notice prior to renewal.

10) Cancellation and refunds
Cancellation notice: You may cancel renewal by providing at least 30 days’ written notice before the next Commitment Term begins. If you cancel, you will retain access through the end of your then-current Commitment Term, and you will not be billed for the next Commitment Term.
No refunds: Except where required by law or stated in a written agreement, fees are non-refundable once billed. Missed sessions are not refundable.
Non-payment: If payment fails or becomes overdue, E3 may suspend access until payment is received. Continued non-payment may result in termination.

11) Non-solicitation and non-interference
To protect the integrity of the community, you agree that during your participation in the Services and for twelve (12) months after your membership ends, you will not, without prior written consent from E3:

  • Solicit for employment, recruit, or hire any employee or contractor of another member that you learned about through the Services, except through general public postings not targeted at members.

  • Solicit or attempt to solicit the clients of another member that you learned about through the Services.

  • Use information obtained through the Services to interfere with another member’s business relationships.

Nothing in this section restricts ordinary course business development that is unrelated to information learned through the Services.

12) Intellectual property and permitted use
All content on the Site and all E3 materials, including frameworks, templates, documents, videos, slides, tools, facilitation methods, and branding (E3 Materials), are owned by E3 or its licensors and are protected by intellectual property laws.
You may use E3 Materials internally within your organization for your own business purposes during your active membership.
You may not:

  • Copy, sell, sublicense, publish, or distribute E3 Materials outside your organization,

  • Remove proprietary notices,

  • Use E3 Materials to create or support competing products or services.
     

13) Member contributions
If you submit content to E3 or within the community (posts, files, feedback, comments), you grant E3 a non-exclusive, worldwide, royalty-free license to use that content to operate and improve the Services. E3 will not publicly disclose member Confidential Information without permission.

14) Third-party links and tools
The Site may include links to third-party sites or services. E3 does not control and is not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

15) Disclaimers
The Services are provided for educational and informational purposes. E3 does not provide legal, tax, accounting, investment, or regulated professional advice. You are responsible for decisions you make and results you achieve.
The Site and Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

16) Limitation of liability
To the maximum extent permitted by law:

  • E3 will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, goodwill, or business interruption.

  • E3’s total liability for any claim related to the Services will not exceed the total amount paid by you to E3 in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply.

17) Injunctive relief for breach of confidentiality or recording
You agree that a breach of Sections 6 (Confidentiality) or 7 (No Recording) would cause irreparable harm for which money damages may be insufficient. In the event of such a breach or threatened breach, E3 may seek immediate injunctive relief, equitable remedies, and any other relief available at law, without the requirement to post a bond where permitted.

18) Indemnification
You agree to indemnify and hold harmless E3 and its owners, employees, contractors, and affiliates from claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Site or Services,

  • Your violation of these Terms,

  • Your violation of any law or third-party rights,

  • Your conduct in the community.
     

19) Suspension and termination
E3 may suspend or terminate your access to the Site or Services if:

  • You violate these Terms,

  • Your conduct creates risk for E3 or members,

  • Fees are overdue,

  • E3 discontinues the Services.

Sections that should survive termination will survive, including confidentiality, no recording, non-solicitation, intellectual property, disclaimers, limitation of liability, indemnification, and injunctive relief.

20) Governing law and venue
These Terms are governed by the laws of the State of [State], without regard to conflicts of law rules. Any dispute will be brought in the state or federal courts located in [County, State], and you consent to jurisdiction and venue there.

These Terms, along with any additional policies posted on the Site and any written enrollment or membership agreement, constitute the entire agreement between you and E3 regarding the Site and Services.
